Belangrijk arrest over fiscale duiding financieringsinstrument
Op 17 mei 2024 heeft de Hoge Raad een belangrijk arrest gewezen over de fiscale kwalificatie van een financieel instrument dat in 2007 was uitgegeven door een in Frankrijk gevestigde vennootschap. Het ging om een zogenoemde ‘obligation remboursable en actions’ (hierna: ORA). De vraag was of het instrument voor toepassing van de Wet op de vennootschapsbelasting 1969 als eigen vermogen (kapitaal) of als vreemd vermogen (geldlening) moest worden aangemerkt. Hoewel het geschil zich toespitste op de vraag of de aan de uitgifte van het instrument verbonden kosten toerekenbaar waren aan een Nederlandse vaste inrichting van de Franse vennootschap, heeft het arrest van de Hoge Raad potentieel een veel bredere reikwijdte.
